Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the TradeRegimen mobile application, web app, and associated services (the “Service”). The Service is operated by a sole proprietorship domiciled in Winterthur, Canton of Zurich, Switzerland.

1. Service Description

TradeRegimen is a behavioral trading coach and execution system for individual self-directed momentum and swing traders. Its core functions are pre-trade rule enforcement, market regime detection, and live position coaching.

2. Not Financial Advice & Assumption of Risk

SUPPLEMENTAL TOOL ONLY.

THE SERVICE IS AN INFORMATIONAL AND EDUCATIONAL TOOL ONLY. Nothing provided by the Service constitutes financial advice, investment advice, trading advice, or any other type of professional advice. The Service — including but not limited to market regime signals, compliance scores, position sizing calculations, AI-generated coaching reports, and any other outputs — is designed solely as a supplemental informational tool to assist your own independent analysis. No output of the Service constitutes a recommendation to buy, sell, hold, or otherwise trade any security or financial instrument.

No Regulatory Registration. TradeRegimen is not registered as an investment adviser, broker-dealer, or financial planner with any financial regulatory authority, including but not limited to the U.S. Securities and Exchange Commission (SEC), FINRA, or the Swiss Financial Market Supervisory Authority (FINMA). The Service does not provide personalized investment advice.

Assumption of Risk. Trading in securities, options, futures, and other financial instruments involves substantial risk of loss and is not suitable for all individuals. By using the Service, you acknowledge that you understand the risks associated with trading and that you could lose some or all of your invested capital. You assume full responsibility for all trading decisions and outcomes, regardless of whether you used information, signals, scores, or coaching provided by the Service in making those decisions. TradeRegimen shall bear no responsibility for any financial losses you incur. You should consult a qualified financial advisor before making any investment decisions. Past performance does not guarantee future results.

3. Beta Program

The Service is currently in beta. By using the Service during the beta period, you acknowledge that:

  • The Service may contain bugs, errors, or incomplete features.
  • Features may be added, modified, or removed without prior notice.
  • No uptime or availability guarantees are provided during the beta period.
  • Feedback you provide may be used to improve the Service without compensation.
  • Data loss may occur, though we take reasonable precautions to prevent it.

The beta period ends when we publicly announce general availability.

4. No Broker Affiliation

TradeRegimen is not affiliated with, endorsed by, or sponsored by any brokerage firm or financial institution. Broker connections are facilitated through SnapTrade, a third-party aggregation service.

5. Account Registration

  • You must be at least 18 years old.
  • You must provide accurate information.
  • You are responsible for maintaining account security.
  • One account per person. Account sharing is not permitted.

6. AI Coaching Features

AI-generated coaching reports use large language models. AI outputs may contain inaccuracies and should not be relied upon as the sole basis for trading decisions. You acknowledge that AI coaching is supplementary to, not a replacement for, your own judgment and analysis.

7. Subscription and Payments

  • Free and paid tiers are available.
  • Web subscriptions are processed through Stripe. Mobile subscriptions are processed through Apple App Store or Google Play Store.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
  • Manage or cancel subscriptions through your account settings or your device's app store settings.
  • Refunds for mobile subscriptions are governed by the respective policies of Apple or Google. Web subscription refunds are handled on a case-by-case basis.

8. Intellectual Property

  • Your data: You retain full ownership of all trading data, journal entries, and content you create within the Service.
  • Our license: By using the Service, you grant TradeRegimen a limited, non-exclusive license to process, display, and analyze your data solely for the purpose of providing the Service to you.
  • Our property: The TradeRegimen app, brand, algorithms, UI design, and all associated intellectual property are owned exclusively by TradeRegimen. You may not copy, modify, reverse engineer, or create derivative works from any part of the Service.

9. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated scripts, bots, or scrapers to access the Service.
  • Share your account credentials with others.
  • Use the Service to facilitate market manipulation or any illegal activity.
  • Attempt to circumvent security measures or access other users' data.
  • Resell, redistribute, or commercially exploit the Service or its data.

10. Data Accuracy

Market data is sourced from third-party providers. We do not guarantee accuracy, completeness, or timeliness of market data. The Service should not be used as the sole source for time-sensitive trading execution decisions.

11. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

No Liability for Data or Output Errors. You acknowledge that the Service relies on third-party data sources, broker integrations, and AI models, all of which may produce inaccurate, incomplete, delayed, or erroneous outputs. This includes, without limitation, market data, broker-synced positions, calculated metrics (such as position sizing, risk percentages, and profit/loss figures), regime signals, and AI-generated coaching reports. You agree to independently verify all data and outputs before making any trading decision. TradeRegimen shall have no liability for any loss or damage arising from errors, inaccuracies, or omissions in any data or output provided by the Service.

Exclusion of Consequential Damages. IN NO EVENT SHALL TRADEREGIMEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF TRADING OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF TRADEREGIMEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

12. Hypothetical Performance

Any examples, case studies, coaching outputs, regime signals, compliance scores, or performance metrics displayed within the Service are for informational and educational purposes only. Hypothetical performance results have inherent limitations. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. There are frequently significant differences between hypothetical performance results and the actual results subsequently achieved. Hypothetical results are generally prepared with the benefit of hindsight, do not involve financial risk, and cannot fully account for the impact of financial risk in actual trading. You should not assume that AI coaching, regime detection, or any other feature of the Service will result in profitable trades or prevent losses.

13. Force Majeure and Service Availability

Force Majeure. TradeRegimen shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war or terrorism, cyberattacks (including DDoS attacks, ransomware, hacking, or data breaches targeting TradeRegimen or its infrastructure providers), failures or outages of third-party services (including but not limited to Supabase, SnapTrade, cloud hosting providers, app stores, or internet service providers), power outages, government actions or regulatory changes, labor disputes, or any other event that is unforeseeable or beyond our reasonable control.

No Uptime Guarantee. TradeRegimen does not guarantee uninterrupted, continuous, or error-free access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, software updates, third-party service outages, or unforeseen technical issues. You acknowledge that trading is a time-sensitive activity and agree that you will not rely solely on TradeRegimen for trade execution, position management, or time-critical decisions. You are responsible for maintaining alternative means of monitoring and managing your trading positions.

14. Modification of Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

15. Statute of Limitations

You agree that any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose. Any claim filed after this one-year period shall be permanently barred.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Indemnification

You agree to indemnify and hold harmless TradeRegimen and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your trading activities.

18. Account Termination

  • You may delete your account at any time through the app settings.
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your data is handled per our Privacy Policy.

19. Dispute Resolution and Binding Arbitration

Please read this section carefully as it affects your rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall first be attempted to be resolved through good-faith negotiation via email (support@myhappy.family) for a period of 30 days.

If unresolved, the dispute shall be determined by binding arbitration rather than in court. The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of the arbitration shall be in Switzerland, or another mutually agreed location. Judgment on the Award may be entered in any court having jurisdiction.

Class Action Waiver. You and TradeRegimen agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (1) no arbitration or proceeding shall be joined with any other; (2) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (3) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

20. Governing Law

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any conflict of law provisions.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
